Emerald HoldCo B.V, the newly installed majority owner of Beta Glass, has initiated a mandatory takeover offer targeting up to 11.74 million shares held by other shareholders of the glass container manufacturer. The core investor is offering N590.94 for each share, representing a 5 per cent premium above the stock's closing price of N562.8 on Tuesday.
Offer Details and Timeline
In a regulatory filing on Tuesday, Beta Glass confirmed that Emerald HoldCo's board of directors approved the offer on 5 February 2026, authorizing the acquisition of shares from shareholders other than Packaging Industries Nigeria Limited and Emerald Nigeria Intermediate Holdings B.V. The offer shares represent 1.96 per cent of the company's total issued and fully paid share capital. The Securities and Exchange Commission (SEC) has also granted its approval. The qualification date for the offer is Thursday, 25 June 2026.
Background of the Acquisition
The takeover follows a December 2025 deal where London-based private equity firm Helios Investment Partners acquired Frigoglass Group's stake in Beta Glass for $100 million. The cash settlement was scheduled for March 2026. According to the offer document, Netherlands-incorporated Emerald HoldCo is a special purpose vehicle ultimately controlled by two investment funds managed by Helios: Helios Investors V (Mauritius) L.P and Helios Investors V L.P.
In February 2026, Emerald HoldCo completed the acquisition of 100 per cent of the shares of Emerald Nigeria Intermediate Holdings B.V (formerly Frigoinvest Nigeria Holding B.V), which owns 76.03 per cent of Packaging Industries Nigeria Limited (formerly Frigoglass Industries (Nigeria) Limited) from the Frigoglass Group. As a result, Emerald HoldCo now indirectly holds 331,260,999 shares in Beta Glass, equivalent to approximately 55.2 per cent of the company's issued share capital.
Offer Period and Next Steps
The mandatory takeover offer opened on 7 July and will close on 4 August 2026. Shareholders are advised to review the offer document and consult with their financial advisors before making a decision.
