Dangote Petroleum Refinery has formally submitted an initial public offering (IPO) application to Nigeria's Securities and Exchange Commission (SEC), moving closer to what is expected to be Africa's largest stock market listing. The application marks a critical regulatory step as the company aims to list on the Nigerian Exchange by September 2026.

SEC Confirms No Major Delays Expected

SEC Director-General Emomotimi Agama confirmed the development, stating that the refinery's advisers are already collaborating with company officials and the regulator to advance the application. Agama noted that the commission does not foresee any regulatory hurdles that could disrupt the planned share sale. “If any issue arises, SEC will resolve it. That is why SEC exists,” he told BusinessDay.

The SEC has also concluded investigations into the premature promotion of the offering by certain market participants who publicised the share sale before regulatory approval. Agama confirmed that sanctions are being applied to the responsible entities, though he declined to name them.

Private Placement Signals Strong Investor Demand

The IPO application follows the successful closure of a $2.5 billion private placement that was 3.7 times oversubscribed, reflecting robust investor appetite. The fundraising is expected to strengthen the refinery’s balance sheet as it scales operations at its 650,000-barrel-per-day facility, the largest single-train refinery in Africa.

The listing is anticipated to significantly deepen Nigeria’s capital market, adding one of the largest companies by market capitalisation to the Nigerian Exchange. Regulators have long encouraged large private firms to list publicly, and this transaction is seen as a direct response to those calls.

Target Date and Market Impact

While no formal date has been approved, the company continues to target a September 2026 listing. Aliko Dangote, Africa’s richest man and founder of the Dangote Group, had earlier announced his intention to launch the IPO, describing it as an opportunity for Nigerians and institutional investors to participate in the refinery’s growth. Once listed, the refinery is expected to become a benchmark for equity market depth and liquidity in Nigeria.

The SEC’s early engagement with the refinery and its advisers has streamlined the regulatory process, a practice the commission intends to encourage for future listings. With the application now under review, attention shifts to the completion of regulatory approvals and the publication of a prospectus ahead of the anticipated September launch.
