Development Bank of Nigeria to Host 9th Annual General Meeting in Abuja

The Development Bank of Nigeria (DBN) Plc has officially announced plans to convene its 9th Annual General Meeting (AGM) in Abuja, providing a platform for shareholders to deliberate on critical financial and governance issues. According to a recent notice, the meeting is scheduled to take place at the Transcorp Hilton Hotel in Abuja on April 30, 2026.

Key Agenda Items for the AGM

During the AGM, shareholders will consider the audited financial statements for the year ended December 31, 2025, alongside comprehensive reports from the directors, audit committee, and external auditors. Other significant items on the agenda include the declaration of a dividend, the re-election of directors retiring by rotation, and the disclosure of managers' remuneration.

Additionally, shareholders will vote on the appointment of an external auditor for the new financial year and approve the remuneration of the auditors. The meeting will also address the election of members into the statutory audit committee, ensuring compliance with regulatory requirements.

Special Business and Governance Matters

As part of the special business, shareholders are expected to approve the appointment of Kolawole Saheed Owodunni as a non-executive director and consider a revised organisational structure for management. The notice facilitates proxy voting, allowing members unable to attend in person to appoint representatives, provided all necessary documentation is submitted prior to the meeting.

The AGM is anticipated to offer shareholders a valuable opportunity to engage directly with the board and management, discussing the bank's performance and strategic direction for the future.
