Champion Breweries Plc has officially achieved compliance with the Nigerian Exchange Limited's minimum free float requirement, marking a pivotal milestone for the beverage manufacturer. This accomplishment follows the successful completion of a public offer and rights issue, which bolstered the company's capital base and shareholder structure.
Regulatory Confirmation and Compliance Milestone
The company has received formal confirmation from NGX Regulation Limited that its free float now exceeds the mandatory 20 percent threshold for entities listed on the NGX Main Board. As a result, the Below Listing Standard compliance indicator, previously associated with the company on trading platforms, will be removed. This development positions Champion Breweries favorably within the regulatory framework and enhances its market standing.
Capital Raising Drives Achievement Ahead of Deadline
The compliance milestone was driven by a strategic capital raising exercise, which included a public offer and rights issue. These transactions expanded the company's shareholder base and increased the volume of shares available for public trading, enabling adherence to Rule 3.1.4 of the Exchange's free float regulations. Notably, Champion Breweries achieved this well before the extended deadline of October 31, 2026, with approvals from the Securities and Exchange Commission ensuring regulatory validation.
Share Crediting and Strategic Expansion
Following the capital raise, the process of crediting shareholders with new shares is in its final stages. Participants in the rights issue have already received their allotments, while crediting for public offer subscribers is ongoing, coordinated with the Central Securities Clearing System Plc and company registrars. Beyond compliance, the capital infusion supported the acquisition of the Bullet portfolio, strengthening Champion Breweries' product lineup and market presence while improving liquidity on the stock exchange.
